Terms and Conditions – Sign Architects
These Terms and Conditions (“Terms”) govern all quotations, sales, and services provided by Sign Architects Ltd (“we”, “our”, “us”) to the customer (“you”, “your”). By placing an order with us, you agree to be bound by these Terms.
1. Quotations and Orders
1.1 All quotations are valid for 30 days from the date of issue, unless stated otherwise in writing.
1.2 An order is confirmed only once we have received written acceptance and any required deposit.
1.3 We reserve the right to refuse orders at our discretion.
2. Pricing and Payment
2.1 Prices are stated in GBP and are exclusive of VAT unless otherwise stated.
2.2 A deposit of 50% of the order value is payable upon acceptance, with the balance due prior to or on installation unless otherwise agreed in writing.
2.3 Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
3. Artwork and Approval
3.1 Artwork, proofs, and designs must be approved in writing by you before production begins.
3.2 Approval of artwork is deemed acceptance of all design details, spelling, colours, sizes, and specifications.
3.3 We are not liable for errors once artwork has been approved.
4. Production and Installation
4.1 Production lead times begin only after receipt of deposit and approved artwork.
4.2 Delivery and installation dates are estimates and may vary due to circumstances beyond our control.
4.3 You must ensure safe and unrestricted access to the installation site. Additional costs caused by delays or restricted access may be charged.
4.4 Risk in the goods passes to you upon delivery or installation, whichever occurs first.
5. Ownership and Intellectual Property
5.1 All designs, drawings, and artwork remain our property until full payment has been received.
5.2 Copyright and design rights remain with us unless specifically transferred in writing.
6. Warranty and Maintenance
6.1 We warrant our products to be free from manufacturing defects for 12 months from installation.
6.2 The warranty excludes damage caused by vandalism, misuse, weather, or failure to maintain.
6.3 Electrical components are covered by manufacturer’s warranties where applicable.
7. Liability
7.1 Our liability is limited to the value of the order.
7.2 We are not liable for indirect or consequential loss, including loss of business, profit, or reputation.
7.3 Nothing in these Terms excludes liability for death or personal injury caused by our negligence.
8. Cancellations and Refunds
8.1 Orders may not be cancelled once production has commenced.
8.2 Deposits are non-refundable.
8.3 Refunds will only be considered in line with statutory consumer rights.
9. Force Majeure
We are not liable for delays or failure to perform where caused by events beyond our reasonable control (including extreme weather, supply chain disruption, or strikes).
10. Governing Law
These Terms are governed by the laws of England and Wales and any disputes will be subject to the exclusive jurisdiction of the English courts.
